Fortis Law Partners Attorneys to Present at Upcoming Business and Cannabis Industry Conferences

Partners at the Denver firm will share valuable insights about topics, including preparing for M&A, CBD marketing compliance and more

DENVER (Sept. 22, 2021)─In-person conferences and events have returned, and Fortis Law Partners leaders Julie Herzog and Henry Baskerville will lend their expertise to members of the business and cannabis industries, offering counsel on various concerns and challenges.

“Helping clients successfully plan and execute a merger or acquisition is one of the most rewarding things I do,” Fortis Law Partners and Full Velocity Consulting co-founder, Julie Herzog said. “I’ve negotiated and closed hundreds of transactions and always enjoy the opportunity to counsel business owners on how to prepare for M&A, what makes a business appealing to buyers and what kind of mistakes can kill the deal.”

Fortis partner Henry Baskerville leads the firm’s cannabis practice. It’s an industry that the firm has been at the forefront of since the beginning and Baskerville regularly advises cannabis clients on the ever-changing and complex legal issues they face. “Right now, the CBD industry is in the FTC’s crosshairs as they crack down on deceptive marketing practices and unsupported health claims,” Baskerville said. “It’s critical to know what is and isn’t legal when it comes to CBD marketing—or risk costly fines.”

Upcoming speaking engagements include:

Denver Startup Week (Denver; Oct. 7 at 3pm): Herzog has been helping entrepreneurs and business owners navigate the M&A process for nearly 30 years. During the panel “It’s Never Too Early for Business Exit Planning,” she will share her expertise on the topic of business exit planning—merger, acquisition or succession. The panel will discuss how to lay the groundwork for a seamless and profitable exit, the most common mistakes to avoid when selling a business and the planning steps all entrepreneurs should take.

MJBizCon 2021 (Las Vegas; Oct. 21 at 9am): Cannabis businesses preparing for a sale face unique challenges and complexities that the “average” business does not. Herzog’s presentation “Peace Out! Insights Into Exit Strategies” will offer guidance on how cannabis business owners can maximize their company’s valuation, anticipate and mitigate bumps in the M&A road, tell a growth story that attracts buyers and prepare for a profitable sale.

USA CBD Expo (Chicago; Oct. 29 at 1:15pm): Partner Henry Baskerville’s panel on “Marketing and Compliance: How to Legally Market Your CBD Company” will address what to know about the recent FTC crackdown on deceptively marketed CBD products featuring unsupported health claims. Baskerville will help players in the CBD industry understand the key points of this initiative and how to avoid being cited or fined for potential violations, as well as answer frequently asked questions from an experienced cannabis lawyer’s perspective.

The Global Business of Cannabis Conference from the American Banking Association (Denver; Nov. 11 at 2:30pm): Herzog will lend her M&A expertise to the “Emerging Issues in Cannabis Sector Mergers and Acquisitions” panel discussion. The conversation will include an overview of the recent cross-border merger and acquisition activity, common regulatory challenges and strategic ways to address them in cross-border contexts and M&A due diligence recommendations.

Herzog heads Fortis’ corporate/securities practice and regularly counsels companies from inception through initial public offerings or successful sales. She has negotiated and closed hundreds of transactions valued at over $1.5 billion for a diverse clientele ranging from Fortune 100 corporations to startups, family offices, and venture capital and private equity funds. Additionally, Herzog is a successful entrepreneur herself who founded, grew and profitably sold her own company, giving her a uniquely personal understanding of the M&A process.

Baskerville is an experienced trial lawyer who focuses on complex commercial litigation, cannabis law, white-collar criminal defense, government contracts, and construction law. He has many clients in the thriving CBD and THC industries to whom he provides general business advice, as well as guidance on state and federal regulations governing the operation of legalized cannabis businesses and the solicitation of and contracting with investors and other business partners.
