Roxane is a business and commercial transactions lawyer with a wide breadth of law firm and in-house counsel experience. She has expertise in mergers and acquisitions, limited liability company and corporate formation, financing, securities and cannabis law throughout the U.S. and internationally. Roxane’s clients value her fresh approach and the skillset she brings from her experiences both as a legal advisor and a business owner who has started and sold several of her own businesses.
As a corporate lawyer, Roxane regularly helps her clients manage complex legal issues and plan for and make strategic legal decisions that add both short- and long-term value. Throughout her career, she has helped companies structure, restructure and expand their businesses, mitigate risks, and maintain regulatory compliance with local, state, and federal laws. Roxane’s merger and acquisition experience is steeped in her work on more than $20 billion of M&A transactions. She has also helped clients attract and raise capital and identify growth opportunities.
In employment law, Roxane has extensive experience overseeing the legal aspects of HR operations. She is a trusted counselor to her clients, helping them balance their business interests with potential risks while maintaining compliance in the face of rapidly evolving employment laws and regulations. Roxane has also managed complex employment litigation and built complete HR structures for clients, including creating employee handbooks, policies and procedures.
Before joining Fortis in 2022, Roxane served as Chief Legal Counsel for a multistate cannabis operator. Prior to that, she spent nearly a decade running her own law firm in Denver, as well as several years helping corporate clients at law firms and working as in-house counsel in the banking and environmental sectors.

When not working, Roxane enjoys hikes with her dog, Harpo, music (especially jazz), cooking, cinema, dancing, skiing, horses, traveling and reading. She is also an art collector and avid hockey fan (Go Habs!)

Roxane has created and led programming for the American Bar Association – International Law Section in DEI, ESG and CSR; cross-border employment issues; and aligning international and domestic cannabis opportunities. She has also written numerous articles and spoken globally on these topics.
