Spencer is a member of Fortis’ corporate team. Acting as outside corporate counsel, Spencer has represented and advised hundreds of companies, from the Fortune 500 to local startups, in a practice that is well known for its industry-inclusive focus, including in aerospace, banking, big data, cloud offerings, consumer packaged goods, education, energy and environment, finance, food and agriculture, healthcare, hospitality, industrial manufacturing, Internet of things, IT services, insurance, life sciences, marketing and advertising, restauranteering, sports and entertainment, telecommunications, and television.

Spencer has worked with clients to structure, draft, negotiate, and/or close hundreds of unique commercial, corporate, intellectual property, financing, technology, and governance matters. Spencer has represented buyers and sellers of companies in M&A transactions worth hundreds of millions of dollars; procurement departments of companies in their high-end purchase or license agreements for SaaS subscriptions, data, equipment, and technical services; corporate sales teams in their offering of B2B or consumer products and services; and founders, c-suite executives, and boards of directors in their governance, financing, and equity matters.

Spencer is additionally well-versed in counseling his clients on privacy and cybersecurity concerns in their commercial transactions. He has assisted clients in managing their digital footprints to comply with applicable regulations and manage customer arrangements, including through privacy policies, shrink-wrap terms, end-user license agreements, acceptable use and access policies, and codes of conduct and ethics. With the emergence of artificial intelligence in his clients’ businesses, Spencer is passionate about counseling them on the legal risks and business rewards of implementing artificial intelligence platforms in their offerings and infrastructures. 

Before joining Fortis Law Partners, Spencer spent half a decade as a senior associate at Bryan Cave Leighton Paisner LLP, an international AM Law 100 firm, and prior to that, as an associate Sherman & Howard, LLC, a Denver-headquartered AM Law 200 firm.

  • Represented sellers in acquisitions, including $50 million sale of national temporary staffing business
  • Represented buyers in acquisitions, including $200 million purchase of a telecommunications system

  • Assisted with outsourcing transactions regarding business processes and IT functions for (a) an international healthcare company and (2) a national insurance provider
  • Served as seconded in-house counsel for a large mobile application client
  • Served as inside-outside counsel for the largest broadband Internet service provider in the U.S. for three years for (1) the review and negotiation of their SaaS subscription, software licensing, IT services, and BPO outsourcing agreements and (2) the drafting of their standard procurement agreement templates and supplemental contract negotiation playbook
  • Served as inside-outside counsel for a top 10 U.S. bank (by revenue) for the review and negotiation of their SaaS subscription, software licensing, and IT services agreements
  • Served as inside-outside counsel for the world’s largest berry production company for the review and negotiation of their SaaS subscription, software licensing, and IT services agreements
  • Advised international music streaming company on IP and data issues related to service development
  • Drafted master agreements for the sale of a supplier’s UV disinfection products across the U.S.
  • Led negotiations for development of pulse oximetry devices for an Icelandic healthcare tech company
  • Performed data mapping for property management companies’ compliance with the CCPA regarding their service contracts with major hotel brands such as Hilton, IHG, and Marriott
  • Developed an online streaming platform for a fitness client
  • Represented plaintiffs in 1.5 year-long pro bono litigation for discrimination in rent
